1) Zombies!!! Has no mechanics to represent different characters, while LNOE has eight different characters in the main game that you'll chose from; an aspect that's very important for the Hero player(s). 2) There's a game timer for how long the game will last in turns, making each move more important. 3) While both games have variable board setup, Zombies!!! builds as the game is played, and LNOE does it all ahead of time. 4) No free resurrections for Heroes in Last Night on Earth.
Besides those (and a few other) game mechanics, I would also say that Last Night on Earth feels more like those zombie movies where the undead are just starting to rise, and you can still stop them, while Zombies!!! feels more like Dawn of the Dead where it's to late and you just have to try and survive.
Also, Last Night on Earth has the various scenarios, which Zombies!!! doesn't have [unless some of the expansions added them?]
LNoE also has a smaller less-sprawling board, with fewer but more-important characters on it. I'd be inclined to think it has more appeal to casual game players than Zombies!!! does.
I was _very_ impressed with Last Night on Earth, and will be buying a copy for myself as soon as my local store can get it in.
I'll disagree on the casual player front - I have plenty of non-gamer friends that love Zombies!!! I busted it out at a Halloween Party and people still ask me about it.
I can dig LNoE as more of a Night of the Living Dead.
