There will be a BayCon; Bay Area fandom has dealt with far worse problems and there has still been a convention. ConJose (cough).
That said, the proper organizational structure for a fannish convention is an IRS tax-exempt 501(c) nonprofit with a Board of Directors. I would hold up AAE, the parent of Further Confusion, as an excellent model to consider.
To quote a saying used several times by noted science fiction writer David Gerrold, itself inspired by Rabbi Hillel:
"If not us, then who? If not now, then when? If not here, then where?"
