GenCon LLC ran GenCon Indy and thought "Hey, why not run other conventions besides Indy?", and so created GenCon SoCal, and ran Star Wars Celebration, as well as some other business (licensing other conventions like GenCon Europe and Australia too.)
Unfortunately, they made some financial mistakes and found themselves needing to declare Chatper 11 in order to protect themselves especially after Star Wars Celebration III left them deep in the red (and with a lot of egg on their face.)
One of the sticky points of Star Wars Celebration III was that they did not give the money that was raised for the Make-A-Wish Foundation (Note to future cons: Charity drives should be handled by a un-tethered entity so that it isn't considered "profit" forthe organization running the con when concerning who they owe?) However, they've been able to clear the payment through the courts and the $150k check is on its way.
http://www.gencon.com/2009/indy/press/releases/2008.12.01.press.aspx On top of that, an unknown "group to be formed" called the GenCon Accquisition Group put in a hostile bid for all that is GenCon. Unfortunately for them, their attempts to be shady and mysterious didn't play well and it's been pretty much rejected (a funny thing to even consider if in fact GenCon LLC plans to be out of bankruptsy before the end of Winter.)
