I'm overcaffeinated and reading my BAII notes...derivative action, corporate opportunity doctrine, fiduciary duty, shareholder ratification of self-dealing trxns ("I think I will make myself a loan from corporate assets!") (derived from Gottlieb and DGCL section 144(a)(2) aka "the Febreze doctrine", because it "freshens the self-dealing trxns")
The world is spinning. Make it stop!
In other news, had an interview this morning. Can't say if it went well or not. I never can tell, though as far as I know I i)had minty fresh breath, ii) did not have a booger hanging out of nose and iii) did not make an political faux-pas. I didn't have an extra copy of my resume (and my interviewer couldn't find hers) and i admitted i was looking for an alternative to firm practice (this was a community foundation). Eh, can't worry. Have another interview with Kansas Legal services tomorrow, who even if they won't pay me, will probably let me hang out at their Topeka office no matter what.
Stopped by chez parents after interview. Let dogs out to pee...and Molly bolted out the back gate which was hanging open. Luckily, since dogs are old, they didn't get too far before I cornered Molly (and elmo followed) and got her back home. You can't imagine how much their little adventure perked up their morning! They did let me clean the mud off their feet, though. I did look pretty silly running around the cul-de-sac in my pumps and suit trying to shoo the dogs back into the yard. Bubbe and I had coffee (well, she had tea).
Will be hiding out in the library until my heart rate returns to normal.
