Looking at listing my car. How's this sound?

2002 Chevy Impala. It has 135,xxx miles on it, CD(no tape), power seat, cruise, and power windows/locks.

It's got two new tires, I replaced the head gaskets, and starter, and it's still running for the most part, as indicated. I've been keeping the fluids up too, though the power steering fluid is up.

The biggest problem is the catalytic converter--Chevy was having some trouble with them, and it looks like this one gave out after the extended warrenty on them expired. It's slowing down the engine, so it's getting a lot less fuel economy than it usually does--it was getting 30-35 and now it's at 22-25.

The other two tires need replacing, and it needs new suspension. It needs several hundred dollars I don't have, but after that it'll be good as new. The fuel gauge is messed up and the ignition is original, with the occasional problems that gives.

One accident will show up on the carfax, it's not given any trouble from that. I can drop the price, but I need full value.

How much would you offer? I'm thinking to ask 2800.
