*laughs* Your summation is pretty much on par with mine. Ratchet makes the show for me. Arcee is likable, though I feel like they're staying pretty one-dimensional with her. From what I can tell, the writers think every character Should Kick Ass A Lot(tm), as opposed to actually having complex and interesting personalities. Wheeljack, for example, has gone from being a slightly nutty engineer to being a Guy Who Kicks Lots of Ass(tm).

I detest the movie carryovers. Everyone snaps at everyone. The humans bark at Prime. Bumblebee beeps and basically annoys me. Basically, anything that reminds me of those vomit-inducing movies pretty much sucks (and yes, I know we're in for a fourth installment of Bay-trash, sigh.)

Aside from that, though, Starscream is fun, Soundwave is nicely creepy, and Ratchet really does carry the thing for me, probably because he's the only one who has a function other than Kicking Ass(tm). I'm a writing snob though, so I'm tough to please when the writing isn't up to par. But we got G1, Beast Wars, and Animated, so I'll give them a break on a few shows that aren't as well written.

So, for TF: Prime, I'm mostly meh. Prime is way over the top, and I don't know if it's the directing or what, but his lines are cringe-inducing. Bulkhead has gone from lovable giant to Guy Who Kicks Ass(tm). Sigh. The toys so far are pretty ok. I liked Animated toys better. I picked up Prime, Wheeljack, Bee (just cuz), and Cliffjumper. Wheeljack's pretty sweet, though he has gorilla arms. Prime is ok. I haven't played with Bee and CJ yet, but CJ at least will be showing up in a comic soon, so I'll get a good feel for him by then. I also got some Prime Legends figures, and CJ's is rockin'.

So, sorry for the long-winded answer. :) But TF Prime...the jury is out. Doesn't stop me from buying the toys though. :)
