You're the second person today who has said that to me and I managed to ressurect hers so maybe all is not lost. What is the problem, have you rebooted it?
It froze this morning, wouldn't turn off, then it gave me the sad ipod face and wouldn't do anything at all. At one point I thought it had come back because I plugged it into the computer and it said it was recharging... then my computer crashed and the ipod started making a small screaming sound and gave me the sad ipod face again. I followed apple support's troubleshooting suggestions but no go. :(
That's definitely a hardware issue as opposed to a software issue and rebooting will not do anything (if you are able to get that far). If it's still in warranty, I'd take it to the nearest Apple Shop Genius bar and see what they think. If it's out of warranty and you want to try something before biting the bullet and replacing it, you can find some people's fixes if you google "sad ipod face". A client of my other half's fixed his through taking the hard drive out and simply shaking it.

If you do have to get another one, I may know a source of some money off codes if you order through the online apple store (I managed to get £30 off mine). If I can hep, just give me a shout.

Have you tried resetting it? Is it the battery?
