First, I am looking for a fic! It was R/adultish and it was about Sheldon losing a bet to Howard and he had to go over and kiss Penny or something along those lines and she gives him a little ol' love bite on the neck and then they do more. Sorry I can't be more descriptive than that really, but the fic is really awesome and I'd like to read it

As for counter remarks, I'm sure you've pointed out that LEONARD and Penny have nothing in common, right?
Well, it can be reasoned that (apart from Sheldon being a genius), Penny and Sheldon's childhoods and home lives were similar, her being from Nebraska and him being from Texas. Families living in settings completely opposite Pasadena. (In fact, I think Leonard's childhood is probably opposite both of theirs.)
Things they have in common extend to their personalities. They're both "alpha," so to speak. They know their minds and what they want, and they enjoy the push-and-pull of their friendship.
I don't know about common interests (but who, besides nerds like Leonard, Raj, and Howard, shares interests with Sheldon?), but I think she secretly loves things like Doctor Who.
I would also counter that they find plenty to talk about in their scenes with each other, even if it's a lot of baiting each other.

They both like Age of Conan, trains and onion rings. They are both assertive, independent people. And at their core, they are similar in how they handle situations. Penny often adopts Sheldon's way of dealing with things (giving strikes when she's mad (okay, one episode, but still), Soft Kitty). Etc. And they simply have a great connection, that transcends differences. We've already seen them in episodes spending hours together. Sheldon also emotionally opens up to her and shares about himself in a way he does with no one else.

Like a lot of the others have said - Sheldon and Penny do have some common interests/traits/characteristics. Not a ton, but I actually think they have just enough in common to make it work, and just enough in differences to balance the power and liven things up a bit.
Or, you know, you could just tell him Sheldon *always* has something to talk about haha, common interests or not.
