"Life sciences company Bruker Corp. is investigating allegations that its optics subsidiary was involved in making improper payments to Chinese officials. The probe, initiated by Bruker’s audit committee, has found evidence that “payments were made that improperly benefit employees or agents of government-owned enterprises in China,” the company said in a regulatory filing late Tuesday. The committee launched the probe after Bruker received “anonymous communications” alleging improper conduct in connection with the China operations of Bruker Optics, which makes laboratory spectrometers and microscopes.
Bruker, based in Billerica, Mass., said the investigation is looking at whether Bruker Optics and its employees in China violated the Foreign Corrupt Practices Act, a 1977 law that bars bribery of foreign officials. The Justice Department and the Securities and Exchange Commission, which jointly enforce the law, consider employees of state-owned companies to be foreign officials. Bruker said it is in the process of disclosing the investigation to the agencies and intends to cooperate with them. The China operations of Bruker Optics accounted for less than 2.5% of Bruker’s consolidated net sales and less than 1% of its consolidated total assets in fiscal 2010.
A Bruker spokesman did not immediately respond to a request for comment."
