Any idea how many board members you're looking at?

It would be a good idea to hold the annual meeting (required) at one of the fan-run cons... MediaWest comes to mind, since it is fic and vid heavy and has been around for 27 years. There needs to be involvement of those 'outside' of the computer world. DragonCon could also work.

Not to be wanky, but using a real world annual meeting at an American con is going to exclude many people from being on the board.

Not wanky in the least, good point.

I believe there is an open meeting component to nonprofit incorporation (although I could be wrong) -- ie, board meetings and especially the annual meeting may be required to be open to membership. Not sure if closed conference calls or chats apply. (Chats might work well, actually, and be easier to take minutes from.)

But I've been away from that world for a while now and things could be dependent on where the incorporation is done, and new technology issues have probably been addressed since I was in it.

Just raising questions that pop into my head.

The AGM of the Mental Health charity I work with usually comprises of the Board, the Committee, both paid and volunteer workers and the 'service users'...plus the outside organisations that work with us, such as lawyers, accountants and such.
