Should I buy a new Jeep?

I have a 2000 Jeep Grand Cherokee Larado with 79,000k on it.

I took my vehicle in for service to replace the left brake line that was completely rusted out last week. They sent me a letter offering to pay off my Jeep IF I buy a new vehicle.

They are offering me a BRAND NEW 2009 Jeep Grand Cherokee (MSRP is 39k) for 25k and some change for taxes). Now I'm already paying $320.00 a month on my current Jeep. The payments for my new Jeep would be about 350.00 ish a month and my insurance goes up $4.00 a month.

Now I'm taking on a LOT of debt here with this Jeep if I do it. Jeeps hold their value, but I'm trying to see what the catch is here. The more and more I seem disinterested the more and more they keep offering. They are truely desperate here and I want to know why.

I know they probably could get a few grand more out of my Jeep. Autotrader.com has similar jeeps with 135k listed (same year and model) for 9k or more.

I just don't want to keep dealing with repairs but I also don't want to go to a company that is having financial issues as well.

I have an appointment to bring my Jeep to them thursday to have it appraised. There's no major damage, or anything of the sort. But I know this year alone I will need new tires (800.00), probably some brake work and my 4wd maintenance done. So is this really worth it.

I drive maybe 100 miles a week now that I work @ home, but I need the 4wd for the snow.
